OPERATOR QUALIFICATION
Legislation was passed requiring Operators of Natural Gas systems to have in
place a written qualification program by April 27, 2001 and by October 28, 2002
any individual performing a covered task must be qualified to do so.
Although this legislation does not directly affect contractors, it indirectly
affects us since we perform covered tasks for many LDC's and Pipeline
Companies. Arby Construction has undertaken a number of steps to insure we are
in compliance with this legislation by the 28th of October 2002 including the
following:

We are members of the Midwest Energy Association's Qualified for One Qualified
for All Consortium.

We have purchased OQ Plus the record keeping system endorsed by MEA and
designed to work in conjunction with Q41, which will track the qualifications
of all of our employees and be available to our customers.

We have appointed a company "Operator Qualification and Training Manager" to
oversee, implement and manage our OQ program.

Although not required by the legislation we have drafted our own written
company Operator Qualification Plan.

It is our goal to begin evaluation of our employees performing covered tasks in
June 2001 so that we will comfortably meet the October 28, 2002 deadline.
We believe that the steps we have already taken in preparation of this
legislation and our future plans will insure that Arby Construction employees
are qualified to perform any covered tasks for our customers.
